To the maximum extent permitted by law, Eclip Team's total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to Eclip Team for the Service in the 12 months before the event giving rise to the claim (or, if you paid nothing, USD $10).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13) Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Eclip Team from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service or your violation of these Terms.
14) Governing Law and Dispute Resolution (Binding Arbitration)
These Terms are governed by the laws of Eclip Team's principal place of business, without regard to conflict of laws rules.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration, except that you may bring claims in small claims court if eligible, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized use.
Arbitration will be conducted on an individual basis. Class, collective, or representative actions are not permitted to the extent allowed by law.
15) Miscellaneous
- Severability: If any provision is held invalid, the remaining provisions remain in effect.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Entire Agreement: These Terms are the entire agreement between you and Eclip Team regarding the Service.
